Item 2.02 is a form number, not a verdict.
NextTrip filed an 8-K today under "results of operations," with a Regulation FD disclosure attached. $NTRP is -13.17% after hours. The filing type tells you results exist. It does not tell you whether they were good, bad or late. The after-hours tape priced the exhibit within the hour, and most people reacting to it are reacting to the color.
For scale, here is cross-stock history, not NextTrip's. Across 715 earnings-day sessions from morning reporters that opened 10% or more below the prior close (price $1 and up), 47% closed above the open and 52% closed below. The median open-to-close was -0.70%. That is nearly a coin flip, so "earnings loser" is not a strategy on its own.
An after-hours print is also not an opening gap. Whether that population applies at all gets settled at the open, not at 5:16 PM.
The EX-99 is checkable tonight. The -13 is just the first opinion about it.
