SHF Holdings filed an 8-K today with Item 3.01 checked. That is the box for a delisting notice or listing-rule noncompliance. After the close, $SHFS is up 45.38%.
Item 3.01 is a notice. It is not a fix. It tells you the company is out of compliance with a listing rule and says nothing about whether that will be cured.
The same filing also carries Item 7.01, a Regulation FD disclosure. Whatever the company said there is the only part of this 8-K that could be read as constructive. The item numbers alone don't tell you which way it reads.
The size matters too. Our profile puts the float at 919,166 shares and the market cap near $1 million. At that size, an after-hours print is a handful of orders, not a verdict.
The stock's own gap history is nine sessions. That is too few to say anything, so I won't pretend it does.
If an EX-99 is attached, read it before you read the candle. The 3.01 tells you what has to be fixed. The exhibit is where the company says how, or doesn't.
